CHICAGO (Reuters) - Federal prosecutors have asked for a prison sentence of 48 months for former Illinois Congressman Jesse Jackson Jr., who admitted to using campaign funds for lavish personal gifts and other purposes not permitted by law.

Prosecutors in court papers filed on Friday also asked for his wife, Sandi Jackson, a former Chicago city council member, to serve 18 months in prison for misuse of campaign funds.

Given that the couple has two children, prosecutors requested that Sandi Jackson, 49, serve her sentence first, followed by her husband.

"The Court should account for the impact incarceration will have on Defendant's family when structuring his sentence," prosecutors said in a document filed in federal court in Washington, D.C.

For their part, lawyers for Jackson Jr. sought a lenient sentence, saying in court papers there was little risk of recidivism and his mental health "may well worsen under the stress of incarceration."

Sentencing for both Jacksons is scheduled for July 3.

Jackson Jr., 48, resigned from U.S. Congress after he was re-elected in a safe Democratic seat last year, saying he was doing so for health reasons. He has undergone extensive treatment for depression, including spending weeks last summer at the Mayo Clinic.

Jackson Jr., the son of civil rights leader and former presidential candidate Jesse Jackson Sr., pleaded guilty last February to misusing about $750,000 in campaign funds on luxuries such as fur capes, celebrity memorabilia and a Rolex watch.

His wife pleaded guilty at a separate hearing to filing false tax returns that failed to report the campaign money as income.

Once considered one of the country's most promising African-American politicians, the younger Jackson ran for Congress and won at age 30. He served from 1995 until his resignation.

He disappeared from public view last summer and speculation swirled for weeks about his condition. At first he said he was being treated for exhaustion and in July his doctor said Jackson Jr. was receiving intensive care for a "mood disorder."

He eventually was treated for at least six weeks at the Mayo Clinic for bipolar disorder.

Attorneys for the Jacksons were not immediately available for comment.

Trena Johnson, a longtime administrative assistant working in the dean's office, heard gunfire and looked out the window around noon Friday. Students were jumping out of windows of nearby buildings to get away. A man in black with a "very large gun" shot a woman in the head outside the library.

"When I saw her shot in the head and she fell to the ground we ran out the back door," Johnson said. "I haven't been able to stop shaking."

Before the rampage was over five people, including the gunman, were killed and five more were wounded, police said.

The violence, which lasted a little more than 10 minutes, started about a mile (1.6 kilometres) away when the gunman began shooting at a house, and it caught on fire. Two bodies were later found inside, police Chief Jacqueline Seabrooks said.

Two officials told The Associated Press that the killings began as a domestic violence incident and the victims in the home were the gunman's father and brother. The officials spoke on condition of anonymity because they were not authorized to publicly discuss the case.

As flames rose from the house, the man, wearing what appeared to be a ballistic jacket, carjacked a woman at gunpoint and directed her to drive to the college campus, having her stop so he could shoot along the way, police said.

He wounded one woman in a car who was in critical condition late Friday. He fired on a city bus where three women were left with minor injuries. One had shrapnel-type injuries and the other two had injuries not related to gunfire. They were treated at a hospital and released.

The gunman also fired on police cars, bystanders and pedestrians, police said.

From there, the chaos shifted to Santa Monica College, a two-year school with about 34,000 students located among homes and strip malls more than a mile (1.6 kilometres) inland from the city's famous pier, promenade and expansive, sandy beaches.

In a faculty parking lot on the edge of campus, he fired on two people in a red Ford Explorer that crashed through a block wall. The driver was killed, police said, and a passenger was in critical condition after undergoing surgery at UCLA Medical Center, doctors said. On Saturday, authorities identified the driver as Carlos Navarro Franco, 68, of West Los Angeles.

College employee Joe Orcutt was in the lot and said the gunman looked calm and composed as he fired at him. Orcutt jumped out of the way.

"He's just standing there, like he's modeling for some ammo magazine," Orcutt said, "seeing who he could shoot, one bullet at a time, like target practice."

The gunman walked on to campus and shot the woman in front of the library, who appeared to be in her 50s, police spokesman Richard Lewis said. She died at the hospital about three hours later.

The gunman went inside the library and kept shooting but apparently hit no one, Seabrooks said.

Dozens of students, who had been studying for final exams, ran for the exits.

"I was totally scared to death and I can't believe it happened so fast," said Vincent Zhang, a 20-year-old economics major.

Officers entered the library and shot the gunman moments later, Seabrooks said. He was carried to a sidewalk, where he was declared dead. His body remained there many hours later as coroner's investigators examined the scene. His name and the names of most of his victims' were being withheld while the coroner's office notified relatives.

Police found a canvas bag on the gunman that included an "AR-15 style" assault rifle, a handgun and magazines of ammunition, Lewis said. A small cache of ammunition was found in the house that had burned.

Police had said earlier that seven people were killed, including the gunman, but they revised the death toll to five at a news conference late Friday. Lewis said there were conflicting descriptions of some victims and they were counted twice.

Police detained a second man but released him and said he was not a suspect, expressing confidence the crisis had ended.

PORT LOUIS, Mauritius, May 31 (Reuters) - Lydia Nsekera of Burundi became the first woman to be formally voted on to FIFA's executive committee on Friday but her election was not without its critics.

Nsekera, 46, president of the Burundi FA and a member of the International Olympic Committee (IOC), was co-opted on to the FIFA executive a year ago, becoming the first woman to sit at the top table since FIFA's formation in 1904.

Nsekera polled 95 votes on Friday, ahead of the 70 gained by Moya Dodd of Australia and the 38 for Sonia Bien-Aime of the Turks & Caicos Islands.

Dodd, a former Australian international player and vice-president of the Asian Football Confederation, had been widely regarded as a far stronger candidate with better credentials for the job.

One senior FIFA delegate told Reuters: "The whole system was flawed from the beginning and I am very disappointed with this decision.

"It was a ridiculous way to go about things because it obviously gave Lydia a head start. Why didn't we go for an elected position a year ago? I am not sure it was based on credentials, more on image and perception. Everyone is pandering to the African vote.

"All Lydia has ever said in a meeting was: "Thank you for taking women's football seriously'," added the source, a FIFA executive committee member.

Another senior administrator told Reuters: "Frankly Moya Dodd, who is a practising lawyer, would have been a far better choice, especially with the continuing reform process FIFA has implemented, but Nsekera was personally chosen by President (Sepp) Blatter last year and the status quo has been maintained for obvious reasons."

Dodd though, will take her place on the executive as a co-opted member for one year, along with Bien-Aime. Nsekera will stay on the executive for a four-year term expiring in 2017.

In her election address, Nsekera told delgates: "I will continue to raise awareness for women in sport to maintain their training. I also want to raise awareness among women so they can be elected to leadership bodies."

The move was made before the team completed a string of four consecutive games against the Angels. Kemp was injured while running down a double in right-center by Mike Trout in the Dodgers' 4-3 loss Wednesday night.

It was the fourth time in Kemp's career that the two-time Gold Glove winner has been on the DL, including two stints last season because of a left hamstring strain that cost him a combined 51 games. The Dodgers were 24-27 in his absences.

"It's not bad luck. It's life," Kemp said. "I never want to be away from the game, but I have to at the moment. It comes with the territory, but it's disappointing."

Kemp, who just two seasons ago finished runner-up to Milwaukee's Ryan Braun in the NL MVP voting after hitting a career-high 39 home runs with 126 RBIs and a .324 average, is batting .251 this season with two homers and 17 RBIs in 51 games, and has struck out 60 times in 191 at-bats following offseason shoulder surgery. In his last six games, he is 1 for 17 with 10 strikeouts.

The Dodgers recalled catcher Tim Federowicz from Triple-A Albuquerque to take Kemp's place on the roster.

Right fielder Andre Ethier was moved to center field in manager Don Mattingly's starting lineup, the 49th he has used in 53 games.

"The whole year we've been figuring a way to patch up things when we get guys hurt," Ethier said. "Donnie asked me, and I said: 'Sure, let's do it.' I'd be lying if I said it didn't cross my mind last night because I wasn't sure what the (extent) of Matt's injury was, and whether it was going to take a couple of days or longer. But it's a different story when you actually see your name in there".

It was only the second time in his eight-year career that he started in center. The other time was May 15, 2012, when he had four putouts in a 5-1 loss to Arizona at Dodger Stadium. Ethier's first big league game as a center fielder was in the 2010 All-Star game, which took place at Angel Stadium.

"It's kind of ironic that it's here," Ethier said. "That time it was an All-Star game, so there had to be a center fielder on that team. I don't know how I ended up playing there but at the same time, it was fun. I knew I had center field in me all the time, and it took an All-Star game for me to finally get it."

Also, right-hander Stephen Fife was activated from the 15-day DL and optioned back to Albuquerque.

Its pretax profit rose to 286.4 million shillings, while earnings per share rose to 0.91 shillings for the six months ending in March from 0.78 shillings in the same period a year ago.

"The increase in profits is largely as a result of higher production and sales volumes for tea and coffee and also improved tea prices," the company said in a statement.

"The results were however negatively impacted by significantly lower coffee prices and the effects of a stronger Kenya shilling."

Sasini said that its performance was further curbed by rising labour, power and agricultural input costs which narrowed margins. Total revenue rose 7 percent to 1.47 billion shillings.

Sasini, which is also involved in dairy farming, horticulture, tourism and retailing, said it would pay an interim dividend of 0.25 shillings per share, down from 0.50 shillings per share last year.

WASHINGTON (Reuters) - Depending on your point of view, U.S. General Keith Alexander is either an Army four-star trying to stave off a cyber Pearl Harbor attack, or an overreaching spy chief who wants to eavesdrop on the private emails of every American.

Alexander, 61, has headed the National Security Agency since 2005, making him the longest-serving chief in the history of an intelligence unit so secretive that it was dubbed "No Such Agency." Alexander also runs U.S. Cyber Command, which he helped to create in 2010 to oversee the country's offensive and defensive operations in cyberspace.

The dual role means Alexander has more knowledge about cyber threats than any other U.S. official, since the NSA already protects the most sensitive U.S. data, extracts intelligence from foreign networks and uses wiretaps to track suspected terrorists. But it also puts the general at the center of an intense debate over how much power the government should have to spy on private citizens in the name of protecting national security.

"He's lasted as long as he has because he's focused and he's persistent. I've never heard him yell," said retired four-star general Michael Hayden, who was Alexander's predecessor at the NSA. "He doesn't spread himself too thin. He decides what's important and puts his personal energy into those things."

Raised near Syracuse, New York, Alexander graduated from West Point, the Army's elite training academy, in 1974. He had planned to serve in the military for just five years but got hooked on the work when he served in Germany as an intelligence officer, monitoring what he once described as "sensitive issues on the border of East Germany and Czechoslovakia."

After Germany, Alexander held a series of increasingly senior intelligence jobs and spent the first Gulf War as a senior Army intelligence officer in Saudi Arabia. Over the years, he also earned four master's degrees, in electronic warfare, physics, business and national security studies.

In 2005, after two years as the Army's top intelligence officer, Alexander replaced Hayden at the helm of the NSA, where he continued to run a warrantless surveillance program initiated after the September 11, 2001, hijacking attacks.

The program, which bypassed a federal court that authorizes domestic wiretapping, was first revealed late in 2005, sparking lawsuits, congressional hearings, leak investigations and a furor that still dogs the agency - and Alexander.

Against this backdrop, his push to expand the NSA's role in domestic cybersecurity has drawn criticism from privacy advocates, and sometimes put Alexander at odds with the White House and the Department of Homeland Security, according to current and former officials.

Alexander had wanted the NSA to control a government security program to aid non-military companies against cyber threats, but others at DHS insisted on civilian control of the project, and they ultimately prevailed, the officials said.

Jane Holl Lute, who stepped down this month as the No. 2 at DHS, said she has had intense conversations with Alexander about the roles of their two agencies in improving cyber security. She declined to detail any differences of opinion, but said they were all judgment calls and she respected the general.

"He pushed up his hill, and I pushed up mine, and what we came to was essentially two sides of the same hill," Lute said.

"We didn't always call balls and strikes the same way. That does not mean he wasn't trying to get it right," she said. "I would challenge anyone who would question his integrity."

HEADING FOR RETIREMENT

Alexander, who told Reuters he plans to retire in the first half of 2014, has presided over one of the busiest times in the NSA's 61-year history, from tracking the cellphone calls that helped pinpoint Osama bin Laden to drawing national attention to cybersecurity. He played a key role in shaping a series of recent cyber policy orders from the Obama administration.

More controversial has been the NSA's construction of a $1.2 billion data center in Utah, which has fanned concerns about the agency's expansive eavesdropping capabilities.

NSA whistleblower William Binney, a former senior crypto-mathematician, last year accused the agency of building the Utah facility to collect data on virtually every American, including private emails, cellphone calls and Google searches.

Alexander told the Reuters Cybersecurity Summit that such claims about the Utah project are completely false. He rattled off a long list of agencies that oversee the NSA's work, including the Justice Department, White House and Congress. "Either all of them are complicit in us doing this or the allegations are absolute baloney. It's the latter," he said.

He told Reuters the center was built in Utah instead of Maryland, where the NSA is based, to take advantage of cheaper electricity. "I'm not a brain surgeon," he said. "But you can try to put power where it's expensive, Maryland, or you can put it (where there is) really cheap power."

According to Alexander, the NSA has its hands full keeping tabs on potential terrorists, and does not have the bandwidth to read the 420 billion emails generated by Americans each day - even though some foreign governments were trying to do that.

"The great irony is we're the only ones not spying on the American people," he quipped.

Alexander has tried to make the NSA appear more transparent, crisscrossing the country to talk about cyber issues. He likes to pepper his speeches with jokes, once blaming his late arrival at a Washington event on a "distributed denial of service" hacking attack on city street lights.

A gadget lover, Alexander is known to roll up his sleeves to become versant with the latest security technologies. On one flight, he and his aide-de-camp learned "BackTrack," a Linux-based product that helps people test their network security. Aides say the general often scores over 1 million points on the "Bejeweled Blitz" online puzzle game.

Alexander's biggest strength is his ability to reach out to a wide range of audiences, said Shawn Henry, former FBI executive assistant director. He cites a speech Alexander gave at the Defcon hackers conference last year, an appearance that would have been unheard of a few years ago.

"Here's a guy who is seen as a symbol of oppressive government ... and he stands up in front of a thousand people, many of whom probably have hacked networks over the years," said Henry, recalling that Alexander had ditched his decorated uniform for jeans and a black T-shirt. "He is just trying to connect, talking about coordination, collaboration."

DUAL HATS

Alexander has asked the Pentagon to give Cyber Command the same elevated status as other major military commands, but it is not yet clear if that request will be granted.

Ira Winkler, president of the Information Systems Security Association, said Alexander's leadership of both NSA and Cyber Command is an advantage but also a complication.

"He's stuck in a bad position. He basically has to defend U.S. cyberspace which requires securing commercial websites and infrastructure, but no one wants him to have access to those networks, since he's also in charge of NSA," Winkler said.

Alexander said he feels strongly that whoever succeeds him should continue to wear the two hats, but not everyone agrees.

"How much can you consolidate before it gets so huge that one person can't manage it," said Harry Raduege, a retired Air Force general and former director of the Defense Information Systems Agency, which oversees military IT systems. "It's an awful lot for somebody at the top of those organizations to deal with."

Still, Raduege, now with the consulting firm Deloitte, said he expects the Pentagon to elevate Cyber Command to a full unified command before the general's retirement next year.

"There's no one in a better position to know the depth, magnitude and broad-based nature of today's increasing and evolving cyber threats," said Raduege. "When Keith Alexander talks about cyber attacks, we should all listen."

From what I've read, the higher the level of education, the more stable the couple will be. However, I cannot stress strongly enough the importance of your girls being independent, self-supporting and completing their education before they decide to do this. One of the most common reasons women remain in unhappy marriages/relationships is the fear they can't survive on their own.

The friend, Abu Nusaybah, was arrested immediately after he gave a BBC Television interview Friday describing how Adebolajo may have become radicalized and alleging that Britain's security services tried to recruit him. Police said Nusaybah was wanted on suspicion of involvement in unspecified acts of terrorism.

Nusaybah said Adebolajo became withdrawn after he visited Kenya, where he claimed he had been arrested and then abused both physically and sexually while in jail. Nusaybah claimed that Britain's domestic spy agency, MI5, approached Adebolajo to recruit him upon his return to Britain about six months ago.

Adebolajo, 28, and Michael Adebowale, 22, are suspected of killing soldier Lee Rigby by hacking his body with knives and a meat cleaver in front of dozens of passersby Wednesday in the southeast London district of Woolwich. The horrific scene was recorded on witnesses' cellphones, and a video has emerged showing one of the two suspects making political statements and warning of more violence as the soldier lay on the ground.

Police shot both men as they arrived minutes after Rigby's slaying. Both suspects remain under armed guard at two London hospitals.

The attack has sparked fears of anti-Muslim sentiments in Britain. Police have charged three people after allegedly offensive comments were posted on Twitter, while Faith Matters, a charity campaigning against extremism, said its helpline has received 162 calls since Rigby was killed from people reporting anti-Muslim incidents including attacks against mosques.

About 1,500 people took part in a march Saturday organized by the far-right group English Defense League in the northern city of Newcastle. Police said the march was mostly peaceful.

The group, which has clashed violently with police in the past, has used Rigby's murder to criticize the British government for not paying enough attention to radical Islam in the country.

Questions abound over what could have led the two men to attack Rigby, a 25-year-old ceremonial military drummer and machine-gunner who had served in Afghanistan and was off duty when he was walking near his barracks.Nusaybah's interview offered one possible narrative. He said Adebolajo's behavior changed after he allegedly suffered abuse at the hands of Kenyan security forces.

"Although that change wasn't necessarily one that became overt, aggressive or anything like that, he became ... less talkative. He wasn't his bubbly self," Nusaybah told the BBC.

He said MI5 agents approached Adebolajo after he returned to Britain and initially asked him if he had met specific Muslim militants, then asked Adebolajo if he was willing to act as an informer.

"He was explicit in that he refused to work for them," Nusaybah said.

The BBC said police arrested Nusaybah outside its studios Friday night immediately after recording the interview.

"This interviewee had important background information that sheds light on this horrific event," the BBC said in a statement. "And when we asked him to appear and interviewed him, we were not aware he was wanted for questioning by the police."

London police confirmed that a 31-year-old man was arrested Friday night on suspicion of "the commission, preparation or instigation of acts of terrorism." Police declined to identify Nusaybah by name or provide further detail.

It was not immediately possible to verify the information provided by Nusaybah, who said he had known Adebolajo for about a decade. MI5 does not publicly discuss its efforts to recruit informers.

It is not uncommon, however, for special services officers to occasionally visit communities to ask people if they know potential terror suspects or others under MI5 surveillance.

Potential informants go through a screening process to determine if they should be trusted, what their motivation might be and whether their information would be likely to be accurate.

Nusaybah said Adebolajo was converted to Islam around 2004. His account corroborates those provided by two Muslim hard-liners who said they also knew Adebolajo.

Anjem Choudary, a former leader of a banned British radical group called al-Muhajiroun, said Adebolajo was a Christian who converted to Islam around 2003. Choudary told The Associated Press that Adebolajo participated in several of the group's London demonstrations before Britain outlawed the group in 2010.

Omar Bakri Muhammad, another former al-Muhajiroun leader and radical Muslim preacher, said Adebolajo is a Nigerian who was born and raised in Britain. He said that Adebolajo attended his London lectures in the early 2000s, but added that he had not stayed in touch with the suspect since then. Muhammad fled London and resettled in Lebanon in 2005 after suicide attacks on London's public transit system killed 56 people, including four bombers.

"I don't know what Michael did since 2004 or 2005," Bakri told the AP. "Two years ago he stopped attending our open lectures and lessons as well as our activities."

The University of Greenwich confirmed Saturday that records show Adebolajo was registered as a student there between 2003 and 2005. His academic progress was unsatisfactory and he did not complete his studies there, vice-chancellor David Maguire said. The university did not have records for the second suspect, Adebowale.

University officials are investigating whether there was any evidence of extremism on its campus, Maguire added.

Police have not officially named the two suspects officials in Britain usually wait to name suspects until charges have been filed. The AP has received confirmation of their identities from British officials speaking on condition of anonymity because they are not authorized to disclose the information.

Few details have emerged about Adebowale besides one reported brush with death as a teenager.

The Guardian reported Saturday that Adebowale was stabbed in 2008, when a man attacked him and two friends in a London apartment. One 18-year-old friend died and the attacker received a life sentence for murder, the newspaper said.

Both suspects had been known to Britain's security services as part of previous terrorism investigations. Authorities said they have arrested two others, a man and a woman, on suspicion of conspiracy to murder, but it is not yet clear whether the killing was part of any larger plot.

MI5 Director-General Andrew Parker is expected to deliver a preliminary report next week to Parliament's Intelligence and Security Committee detailing what the agency knew about both suspects and whether MI5 could have done anything to stop the attack.

The directors of Britain's foreign spy agency, MI6, and Britain's eavesdropping agency, GCHQ, also are expected to give reports on what intelligence they had on the two men.

LONDON (Reuters) - Internet retailer Amazon.com Inc. will be called back to the British parliament to clarify how its activities in the UK justify its low corporate income tax bill, two lawmakers told Reuters.

Amazon will follow search giant Google, which attended another grilling by parliament's Public Affairs Committee (PAC) over its tax affairs on Thursday. A Reuters report earlier this month raised questions over Google's earlier assertions that its UK-based staff don't sell to customers.

Over the past six years, Amazon has paid around $9 million in income tax on over $23 billion of sales to British clients, because it says it operates a single European business out of Luxembourg, rather than a multinational structure of independent subsidiaries in different countries, and should therefore pay tax in Luxembourg.

However, Reuters has uncovered evidence from the company's own statements, job advertisements, statements from three suppliers and five former employees, as well as the profiles of over 140 staff on networking website LinkedIn, which suggests the UK unit has a high degree of autonomy, with local managers deciding on many aspects of its business.

The information, collected during a three-month investigation, suggests that while Amazon depicts itself as a virtual business, its structure may not be so different from its bricks-and-mortar rivals.

"The basic business model wasn't very different to a mail order company in the 1970s or 80s," said Mark Riley, a Business Development Manager at Amazon.co.uk between 2005 and 2008.

Bryan Roberts, Retail Insights Director for consultants Kantar Retail, said apart from the fact buyers seal deals over the Internet, Amazon's UK unit Amazon.co.uk Ltd, which is based in an office block in Slough, near London, was essentially a UK retailer.

"Amazon.co.uk is a British business in that 99 percent of the people who are responsible for merchandising, buying, the online activity, fulfillment, are based in Slough," said Roberts, an expert who advises many Amazon suppliers.

Amazon declined to answer any questions about its UK business.

On Thursday, the Guardian newspaper reported that it had found "extensive UK activities" for Amazon that suggested the UK tax authority could be tougher on taxing its British operations.

Companies, especially those which sell over the Internet, increasingly designate their British subsidiary as a supplier of support services to an affiliate in a low-tax jurisdiction, through which sales are then booked. Firms including Expedia and Microsoft have used such arrangements to minimize tax bills while also employing people in a wide range of roles in Britain, their accounts, employee profiles on their web pages, job advertisements and the LinkedIn profiles of staff show.

Amazon and Microsoft say they follow tax law in every country where they operate. Expedia declined to comment.

The practice is based on international tax rules which allow companies to conduct "preparatory and auxiliary" activities in a country without creating a taxable presence there.

The UK tax authority, Her Majesty's Revenue and Customs (HMRC), has never sought to define in court the limits of what an internet company can do in Britain before it is deemed to have a taxable presence. Lawyers and academics say this has allowed a wide grey area to emerge.

In the case of Amazon at least, some tax experts said that in conducting a wide range of activity in the UK, it may be on the wrong side of the hitherto undefined boundary.

Yet Jacques Sasseville, head of the tax treaty unit at the Organisation for Economic Co-operation and Development (OECD), which advises rich nations on tax policy, said he wasn't sure if a boundary exists. He said where sales were conducted online, it was almost impossible to prove a taxable presence in a jurisdiction, irrespective of how much activity is conducted in that country.

Member of Parliament Margaret Hodge said she wanted HMRC to look more closely at the company's affairs, to see if Amazon was paying all the tax it should.

She also said she planned to call Amazon representatives back to testify to the committee which she chairs and clarify written evidence and witness testimony the firm gave in November, in which it downplayed its activities in Britain.

"We need to very urgently call back Amazon to question them around what you've uncovered; to look at that in relation to what they actually told us when they gave evidence to us and of course if they were economical with the truth or not totally honest in their evidence to us last time, that is a very serious thing," she said.

Amazon declined to say whether staff at Amazon.co.uk had management oversight or were responsible for profitability for different retail product lines. Amazon's auditor Ernst and Young declined to comment.

FULFILMENT

Amazon.co.uk is funded by fees from Amazon EU, which are just enough to cover its costs but leave little profit to tax. It employs 4,191 full-time staff and thousands more contract staff via outside firms, compared with 500 Amazon staff in Luxembourg.

Amazon.co.uk's principal activity is "the provision of fulfillment and corporate support services to other group undertakings", according to its 2012 accounts.

Amazon's Brussels-based Director of Public Policy, Andrew Cecil, told the committee in November that the UK unit did not operate as an independent business.

"We are operating a single European company ... All the strategic functions for our business in Europe are based in Luxembourg," he said.

Amazon said in subsequent written testimony to the Public Affairs Committee that the UK's roles included customer support, accountancy, tax, legal, human resources, localization and similar back office services; merchandising and marketing support services; and purchasing assistance.

Amazon supplier Gary Braithwaite, who helps manage the Amazon relationship at Elland, North of England-based organic and vegan food distributor Suma Wholefoods, said his cooperative has had no dealings at all with Amazon in Luxembourg, but works with its UK staff.

"We actually deal directly with them. Every so often we go down to visit them in Slough. They're really nice people," he said.

The employment section of Amazon's own corporate website says: "Our Slough teams manage all corporate functions, including vendor management, marketing, software development and legal."

In late March, the careers section of the website advertised dozens of Slough-based jobs in these categories.

A "Senior Vendor Manager - Beauty" with Amazon.co.uk was expected to "Seek out, engage, motivate and build new and existing supplier partnerships," while prospective candidates for Senior Vendor Manager - Mobile Communications were told the job would require them to "Manage existing supplier relationships maximizing sales, market segment share and profitability."

Some former staff said UK-based managers had responsibility for the profitability of product categories. This started with negotiating the best deals with suppliers.

Matt Henderson, who worked in a variety of managerial roles at Amazon from 2004 to 2011, said that little, if any, purchasing occurred on an international level because even international suppliers preferred to deal with Amazon on a national basis, partly to moderate the company's ability to squeeze discounts from them.

Some UK-based managers also had to decide on product pricing, constantly seeking to balance margin against volumes, and decide how products were displayed online.

"The UK front page was owned by the UK category manager," said the former business development manager Riley.

The LinkedIn profiles of current and former staff show employees closely involved in driving profitability at Amazon's UK business.

Aimee-Joanne Teather, Buyer - Kids Clothing & Accessories, said her responsibilities included "Signing new brands, negotiating terms with vendors. Analyzing sales figures and reaching targets."

Teather did not respond to requests for comment.

PREPARATORY OR AUXILIARY

The issue, say lawyers, is one of 'substance'. Amazon UK is a subsidiary of Amazon EU, the official supplier of Amazon goods across Europe.

It pays almost all its profit to a tax-exempt affiliate, also registered in Luxembourg, in fees for the use of Amazon group intellectual property.

The tax authorities in the United States and France have each demanded hundreds of millions of dollars in back taxes from Amazon in relation to this arrangement, Amazon's regulatory filings show. U.S. authorities have argued the price at which Amazon transferred intellectual property between affiliates was inappropriate; Amazon did not specify the French tax authority's objections.

Amazon EU can sell into Britain from Luxembourg without creating a taxable presence because, like most developed countries, the two have a treaty aimed at avoiding double-taxation of profits. That lets its home base Luxembourg collect the taxes instead, said David Quentin, at law firm Farrer & Company, after reviewing the Reuters material.

International tax law deems storage as auxiliary' to the main trade of a manufacturer or retailer, so Amazon's vast warehouses, which it calls fulfillment centers, do not create a permanent establishment.

That works up to a point, lawyers say. Amazon EU's activities in Britain do not constitute a taxable entity known as a permanent establishment so long as they are of a "preparatory or auxiliary character".

"If a UK company is conducting the operations from which the profits in substance arise, HMRC could seek to treat the trade as being conducted through the UK company and tax it here," Quentin said.

Whatever the legal situation, Amazon is likely to face tough questions when it appears again in front of lawmakers in coming weeks.

"We will take a much closer look at their internal financial arrangements," said member of parliament Nick Smith, who also sits on the PAC. "Whilst they will be shown every courtesy, Amazon had better put on their tin hats." ($1 = 0.6568 British pounds)
